By accepting a proposal, quotation, or commencing work with Vertex Media Solutions Ltd, both parties agree to the following terms. This agreement outlines the general understanding, responsibilities and expectations between Vertex Media Solutions Ltd ("we", "us", "our") and the Client ("you", "your").
All strategies, plans, designs and materials shared within proposals or quotations remain our property until formally accepted and paid for. If a proposal is not accepted, its contents may not be used. We reserve the right to reuse general concepts, excluding any confidential or sensitive client information.
We will deliver the agreed services professionally and in line with the scope outlined in proposals or discussions. As digital landscapes evolve, we may adapt methods, deliverables or approaches to best serve your objectives, and will communicate any significant changes where appropriate.
Services may include a range of digital activities beyond SEO where agreed. We may utilise third-party contractors or specialists where required, while retaining full responsibility for the work delivered.
While we apply industry expertise and best practices, no guarantees are made regarding specific rankings, performance metrics or outcomes due to factors outside our control, including third-party platforms and algorithm changes.
You agree to:
Services typically operate on a flexible, ongoing basis unless otherwise agreed. Either party may end the agreement with appropriate written notice. While recommended timelines may be suggested to achieve results, these are strategic guidelines rather than binding commitments.
Clients may adjust, pause or scale services as needed with notice.
Services are billed in advance unless otherwise agreed. Additional work outside the agreed scope may be charged separately.
Late payments may result in service suspension and additional charges where applicable. Any concerns regarding invoices should be raised promptly to allow resolution.
Either party may terminate the agreement with written notice. Immediate termination may occur in cases of breach, insolvency or failure to meet obligations.
Outstanding balances for completed work remain payable upon termination, and services may continue during any notice period where applicable.
We commit to delivering services with reasonable skill and care in line with industry standards. No guarantees are made regarding performance outcomes such as rankings, traffic or profitability.
You agree to comply with all relevant laws and not misuse the services provided. You also agree not to solicit our team members during the agreement and for a reasonable period after.
We are not liable for outcomes outside our control, including changes to search engines, platforms or external systems.
You retain full responsibility for your business operations, compliance, customer outcomes and use of services. While we provide guidance, all final decisions and implementations remain your responsibility.
Our liability, where applicable, is limited to the value of services provided within a reasonable period. We are not liable for indirect or consequential losses.
You agree to indemnify and hold us harmless against any claims, damages or costs arising from your use of the services, breach of agreement or actions taken based on provided materials.
Neither party is liable for delays or failure to perform obligations due to events beyond reasonable control, including but not limited to technical failures, natural events or external disruptions.
Both parties agree to keep all confidential information private and only use it for the purpose of fulfilling the agreement. Information will not be shared with third parties without prior consent.
This agreement is governed by the laws of the United Kingdom, and any disputes will be handled within its jurisdiction.
